課程概述

本學期,比較法專題的課程將以“商法與企業法”為主,總共邀請九位外國頂尖學者前來授課。應邀之外國頂尖學者將於星期一早上九點十分至十二點十分,進行三小時的演講,介紹與他們國家有關商法及企業法的框架和重要內容,演講最後將有與外國學者問答對話時間。 

課程目標
主要希望學生能夠對於不同國家的商業及企法有一個概略的認識,並學習如何繼續深入自己對於其它國家相關領域法律之研究。這一門課將提供同學更進一步學習了解比較法的機會與基礎。雖然,對於一門不到三小時的入門課來說,要將所有的東西含括進去,幾乎是不可能的事,但是,我們能希望選課學生能夠從這一門課中獲益並從我們的講者身上學習到重要的法律知識以及方法論。 
課程要求
鼓勵學生出席所有的演講並積極參與課程討論。選課學生需繳交期末報告。可就所寫題目與老師討論。

(It will focus on agency law but with special emphasis on how those principles operate in the context of companies that have to act through human intermediaries.)

12/01  Guest Speaker: Professor Lee Aitken, Faculty of Law, University of Hong Kong(Hong Kong):"Current Position of Derivative Action for Minority Shareholders in Hong Kong." 
Week 13
12/08  Guest Speaker: Professor Edward A. MORSE, Professor of Law, McGrath North Mullin & Kratz Chair in Business Law, Creighton University School of Law (U.S.A.): "Business Organizations in the United States: Legal, Tax, and Regulatory Frameworks." I would hope to provide an overview of principal business forms and their features, as well as to discuss modern trends in choice of entity. Tax issues are significant in this environment, and since this is an area of my scholarship and teaching, I would intend to address both domestic and some international issues affecting these areas. I believe these areas are sufficiently rich to occupy the time and to provide grist for discussion of both law and policy matters. Hopefully it will be basic enough to benefit the younger students, but I can touch upon some more complex issues and policy questions that may interest the faculty and graduate students who may have more familiarity and experience in these areas.
